Terms of Service
Effective April 28, 2026
These Terms of Service (“Terms”) form a binding agreement between you (“Customer,” “you”) and PayrollCertified LLC (“PayrollCertified,” “we,” “us”) and govern your access to and use of the PayrollCertified web application, software, APIs, and related services (collectively, the “Service”). By creating an account or otherwise using the Service, you agree to be bound by these Terms.
1. Eligibility and Account Registration
You must be at least 18 years old and have the authority to bind your business to these Terms. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
2. The Service
PayrollCertified provides software that connects to Intuit QuickBooks Online and helps United States contractors and subcontractors generate certified payroll reports (including U.S. Department of Labor Form WH-347, California DAS-A-1-131, and similar state forms) for compliance with prevailing wage laws such as the federal Davis-Bacon Act and equivalent state statutes.
You are solely responsible for the accuracy of the underlying payroll data, the wage classifications you select, the submission of reports to government agencies, and overall compliance with applicable laws. PayrollCertified provides software tools, not legal, tax, or accounting advice.
3. License Grant
Subject to your compliance with these Terms and timely payment of fees, PayrollCertified grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes during the term of your subscription.
4. Subscription, Fees, and Free Trial
- Free trial. New accounts may receive a 30-day free trial. No payment method is required to start a trial. We may modify or discontinue trial offers at any time.
- Fees. Subscription fees are billed in advance at the rate displayed at sign-up (currently $199 per month or $1,990 per year), exclusive of applicable taxes.
- Auto-renewal. Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date.
- Cancellation. You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period; we do not provide pro-rated refunds for partial periods.
- Late or failed payments. If a payment fails, we may suspend or terminate your access until the balance is paid.
- Price changes. We may change subscription pricing on at least 30 days’ notice. Changes apply at your next renewal.
5. Acceptable Use
You agree not to:
- Use the Service in violation of any law or third-party right.
- Reverse engineer, decompile, or attempt to derive source code from the Service, except where such restriction is prohibited by law.
- Resell, sublicense, or otherwise commercially redistribute the Service without our prior written consent.
- Interfere with or disrupt the Service, attempt to gain unauthorized access, or probe for vulnerabilities outside an authorized program.
- Upload data that contains malware, infringes intellectual-property rights, or that you are not authorized to share.
- Use the Service to send unsolicited communications or for any deceptive purpose.
6. Customer Data
As between you and PayrollCertified, you retain all rights in the data you submit to or that we receive from your QuickBooks Online account on your behalf (“Customer Data”). You grant PayrollCertified a worldwide, non-exclusive, royalty-free license to host, copy, transmit, and display Customer Data solely as needed to provide and improve the Service, prevent abuse, and comply with law.
You represent that you have all rights and consents necessary for us to process Customer Data as described in these Terms and our Privacy Policy.
7. Third-Party Services
The Service interoperates with third-party platforms, including Intuit QuickBooks Online and Stripe. Your use of those platforms is governed by their own terms and privacy policies. PayrollCertified is not responsible for third-party services, and downtime, errors, or changes by third parties may affect the Service.
8. Intellectual Property
PayrollCertified and its licensors retain all right, title, and interest in and to the Service, including all software, content, branding, and improvements. No rights are granted to you other than those expressly set out in these Terms. Feedback you provide may be used by us without restriction or compensation.
9. Confidentiality
Each party agrees to protect the other’s non-public information disclosed in connection with the Service using at least reasonable care and to use it only as needed to perform under these Terms.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT REPORTS GENERATED WILL SATISFY EVERY APPLICABLE LEGAL OR REGULATORY REQUIREMENT.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAYROLLCERTIFIED’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO PAYROLLCERTIFIED DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR LOSS OF DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12. Indemnification
You agree to defend, indemnify, and hold harmless PayrollCertified and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of (a) your use of the Service in violation of these Terms or applicable law, (b) Customer Data, or (c) your infringement of third-party rights.
13. Term and Termination
These Terms remain in effect while you have an active account. You may terminate at any time by canceling your subscription. We may suspend or terminate your access immediately if you materially breach these Terms, fail to pay fees, or use the Service in a way that creates risk or potential legal exposure for us. On termination, your right to use the Service ends, and we may delete Customer Data after a reasonable retention period as described in our Privacy Policy. Sections that by their nature should survive termination will survive.
14. Modifications
We may update these Terms from time to time. If a change is material, we will notify you (for example, by email or by posting a notice within the Service) at least 14 days before it takes effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in New Jersey for any dispute not subject to arbitration. Each party waives the right to a jury trial.
16. Miscellaneous
These Terms, together with the Privacy Policy, constitute the entire agreement between the parties regarding the Service and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
